Terms of Service

1. Agreement

These Terms are a contract between you and Panara Studio LLC (8 The Green, STE B, Dover, DE 19901), the operator of Cocomail (cocomail.cc). You accept them by creating an account: the signup screen says so before either signup method, and we record the Terms version you accepted. If you use Cocomail for an organization, you confirm you can bind it. Our Privacy Policy explains how we handle data, and the Data Processing Addendum is incorporated into these Terms where it applies, that is, where your processing of subscriber personal data through Cocomail requires processor terms.

2. Eligibility and your account

You must be at least 18 years old. Cocomail customer accounts are not offered to individuals resident in, or businesses established in, the European Economic Area or the United Kingdom, and you may not create an account on behalf of a business established there. By signing up you confirm you meet this requirement; we record that confirmation with your account. Materially misrepresenting your eligibility is grounds for suspension or termination of the account.

Keep your credentials secure: activity under your account is your responsibility. Provide accurate account and sender information, including the physical mailing address anti-spam law requires in your emails.

This eligibility rule is about who can hold a Cocomail account, not about who may appear on your subscriber lists. Cocomail does not determine the geography of your subscribers, and having a subscriber in the EEA or UK does not by itself terminate an otherwise eligible account, but you must comply with the laws that apply to your recipients (Section 6).

3. Plans and billing

• Cocomail is sold as auto-renewing monthly or annual subscriptions. The price displayed to you and accepted at checkout governs; it renews at that amount and interval until you cancel.
• Each plan carries a monthly email-sending quota and feature set as published on the pricing page; annual plans' quotas still reset monthly.
• We give at least 30 days' notice of price changes; a change takes effect at your next renewal, never mid-period.

4. Cancellation

Cancel before renewal through the billing portal (Settings → Plan); cancellation takes effect at the end of the current paid period, and you keep access until then. There are no partial- period refunds outside the guarantee below. Deleting your account cancels the subscription immediately, without proration.

5. 30-day money-back guarantee

If Cocomail isn't for you, we'll refund your first subscription charge (monthly or annual) in full: email [email protected] within 30 days of that charge. The guarantee covers the first charge only (renewals are excluded), applies once per customer, and does not apply where the account materially violated these Terms or the Acceptable Use Policy.

6. Acceptable use and anti-spam policy

This policy is load-bearing: violating it can suspend sending immediately.

• Permission-based lists only. Every recipient must have given you permission to email them. Purchased, rented, scraped or appended lists are prohibited. You warrant that you have a lawful basis and every permission required for the subscriber data you upload or collect and for the email you send through Cocomail.
• You determine which laws apply to your sending. You are responsible for identifying and complying with the laws applicable to your recipients, your subscriber collection and your campaigns (for example CAN-SPAM, GDPR/UK GDPR, ePrivacy rules, or CASL, as applicable to you and your recipients). Cocomail does not determine where your subscribers are located and does not attempt to infer a subscriber's country from an email address.
• Engagement tracking. Before enabling open or click tracking, you must have provided any privacy notice and obtained any consent that the laws applicable to your recipients require. The product asks you to declare whether your audience may include people in the EEA or UK and, where it may, to confirm this responsibility before tracking is enabled. That confirmation is your representation to us, not a determination by Cocomail that any legal requirement has been met.
• You must comply with applicable email law: accurate headers and sender identity, no deceptive subject lines, your valid physical postal address in every marketing email, and a working unsubscribe mechanism. Cocomail adds an unsubscribe link to every newsletter and honors it immediately; you must not attempt to remove, bypass or evade it, or re-add suppressed addresses.
• No illegal content, phishing, malware, deception, impersonation, or harassment.
• No evading suppression lists, bounce handling, or reputation controls (including via multiple accounts).
• We may pause or suspend sending for high bounce or complaint rates, or any breach of this section: protecting deliverability for every customer depends on it.

7. Your content and data

You own your newsletters, templates and subscriber lists. You grant us only the limited license needed to operate the service (store, process, transmit and display your content to send your email and run your account). We never sell your lists or use them to build audiences for anyone else. Export your contacts at any time. The Cocomail software, brand and site remain ours.

8. Warranties and liability

Cocomail is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-interruption. Email delivery depends on third parties (recipient servers, DNS, providers) we do not control.

To the maximum extent permitted by law, Panara Studio LLC is not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenues or data; our total liability under these Terms is capped at the fees you paid us in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law, or limits any non-waivable consumer rights of your home jurisdiction.

9. Indemnification

You will defend and hold Panara Studio LLC harmless from claims arising out of your content, your lists, or your breach of these Terms, including claims from recipients you emailed without permission.

10. Termination

You can delete your account at any time (Settings → Danger zone). We may suspend or terminate accounts that materially breach these Terms; where practical we'll warn you first. On termination, data handling follows the Privacy Policy and, for subscriber data, the DPA.

11. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Disputes go to the state or federal courts located in Delaware, and both parties consent to their jurisdiction, except that you may bring claims in small-claims court where you live, and any mandatory consumer protections of your home jurisdiction remain unaffected.

12. Changes to these Terms

We may revise these Terms. For material changes we give at least 30 days' notice by email or in-app message; continuing to use Cocomail after the effective date accepts the revision. The version and date at the top identify the current Terms.

13. Miscellaneous

If a provision is unenforceable, the rest stand. These Terms plus the Privacy Policy and DPA are the entire agreement. Questions: [email protected].
